01.Acceptance of Terms
By accessing or using DECISION ENGINE, you confirm that you have read, understood, and agree to be bound by these Terms and by the policies they reference, including the Privacy Policy and Acceptable Use Policy.
If you use the service on behalf of a business, you represent that you are authorized to bind that business, and “you” refers to that business.
02.Accounts
You must provide accurate, complete information when creating an account and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
Notify us promptly at security@redpalm.ai if you suspect unauthorized access. We may suspend accounts that present a security risk to the service or to other customers.
03.Subscriptions
DECISION ENGINE is sold as a monthly subscription, priced per business location, starting at $499 per month. Subscriptions renew automatically each billing period until cancelled.
Each location is treated as its own market and its own subscription. Multi-location and franchise arrangements may be governed by a separate order form or agreement.
04.Billing & Payment
Fees are billed in advance each billing period through our payment processor. Payment is made through a hosted checkout; Red Palm does not store your full card details.
If a payment fails, we may retry it and notify you. Continued non-payment may result in suspension or termination of the service. Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes. See the Refund & Cancellation Policy for cancellation and refund terms.
05.User Responsibilities
- Use the service only for lawful purposes and in accordance with the Acceptable Use Policy.
- Ensure you have the rights to connect the websites, business profiles, and accounts you link to the service.
- Review and approve content before it is published where the service requests your approval.
- Keep your business information accurate; the service acts on the data you connect and provide.
06.Intellectual Property
Red Palm owns the service, including its software, models of operation, detectors, designs, and branding. These Terms do not transfer any Red Palm intellectual property to you.
You own your stuff. Your website, your Google Business Profile, your accounts, and the content produced for your business under your subscription belong to you, during the subscription and after it ends.
You grant Red Palm a limited license to access and process the content and data you connect, solely to operate, improve, and support the service.
07.Termination
You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. We may suspend or terminate the service for material breach of these Terms, non-payment, or use that poses a risk to the service, other customers, or third parties.
Upon termination, your right to use the service ends, but you retain ownership of your website, profiles, accounts, and content as described above.
08.Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, Red Palm disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Search rankings, calls, leads, and marketing outcomes depend on factors outside our control, including search engines, competitors, your market, and your own responsiveness. Any projections shown in the service are estimates and are labeled as such; they are not guarantees.
09.Limitation of Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Except for your payment obligations, either party’s total aggregate liability arising out of these Terms is limited to the amounts you paid to Red Palm for the service in the twelve (12) months preceding the event giving rise to the claim.
10.Indemnification
You will defend and indemnify Red Palm against third-party claims arising from your content, your business listings, your breach of these Terms, or your violation of law, and will pay damages finally awarded or agreed in settlement for such claims.
11.Governing Law
These Terms are governed by the laws of [Jurisdiction — TODO: confirm with counsel], without regard to its conflict-of-laws rules. The courts located in that jurisdiction have exclusive jurisdiction over disputes arising from these Terms, and each party consents to their venue.
Confirm the governing law, venue, and any arbitration or class-action provisions with counsel before launch.
12.Changes to These Terms
We may update these Terms from time to time. If a change is material, we will give reasonable advance notice (for example, by email or an in-product notice). Continued use of the service after the effective date of an updated version constitutes acceptance.
